These Terms and Conditions ("Terms") govern your access to and use of the website bynumshop.site and the services provided by Bynum Shop ("Bynum Shop," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site or our services.

1. Use of Services

Bynum Shop provides AI automation and digital marketing services to businesses, including AI agent development, workflow automation, website development, SEO, lead generation, and consulting. You agree to use the Site and services only for lawful business purposes and in compliance with these Terms and our Acceptable Use Policy. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any credentials shared with you.

2. Engagements & Proposals

Specific services are provided under a written proposal, statement of work, or service agreement that describes the scope, deliverables, timeline, and fees. In the event of a conflict between these Terms and a signed service agreement, the service agreement controls for that engagement. Our Service Agreement describes standard engagement terms.

3. Payments

Fees, payment schedules, and any deposits or milestone payments are set out in your proposal or service agreement. Unless stated otherwise, invoices are due upon receipt, and recurring plans are billed in advance. Late payments may result in suspension of services. All fees are in U.S. dollars and are exclusive of any applicable taxes, which are your responsibility. Advertising spend paid to third-party platforms is separate from our fees. Refunds are governed by our Refund Policy.

4. Intellectual Property

The Site, including its text, graphics, logos, and code, is owned by Bynum Shop or its licensors and is protected by applicable intellectual property laws. Subject to full payment and the terms of your service agreement, final deliverables created specifically for your project are assigned to you, excluding our pre-existing tools, frameworks, methodologies, and any third-party or licensed components, which remain the property of their respective owners. You may not copy, resell, or redistribute the Site's content without our written permission.

5. Client Responsibilities

To deliver our services, we rely on your timely cooperation, including providing accurate information, necessary access to accounts and platforms, feedback, and approvals. Delays in these responsibilities may affect timelines and outcomes. You represent that you have the rights to any materials you provide to us.

6. Disclaimers

The Site and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that any particular business result, ranking, lead volume, or revenue outcome will be achieved. See our Disclaimer for more.

7. Limitation of Liability

To the fullest extent permitted by law, Bynum Shop and its members, officers, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Site or services. Our total aggregate liability for any claim arising out of or related to the Site or an engagement will not exceed the amount you paid to us for the services giving rise to the claim during the three (3) months preceding the event.

You agree to indemnify and hold harmless Bynum Shop and its personnel from any claims, damages, liabilities, and expenses arising from your breach of these Terms, your misuse of the services, or your violation of any law or third-party right.

9. Third-Party Services

Our services may involve or integrate with third-party platforms and tools. We are not responsible for the availability, performance, terms, or policies of third-party services, and your use of them is subject to their respective terms.

10. Termination

We may suspend or terminate your access to the Site or services if you breach these Terms, fail to pay amounts due, or use the services unlawfully. Termination of an engagement is governed by your service agreement. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

11. Governing Law & West Virginia Jurisdiction

These Terms are governed by the laws of the State of West Virginia, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the services will be subject to the exclusive jurisdiction of the state and federal courts located in Fairmont County, West Virginia, and you consent to personal jurisdiction and venue in those courts.

12. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted, and the "Last updated" date will reflect the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance.
